STATIONERY WITH PURPOSE

AFFILIATE PROGRAM AGREEMENT

Sakh’Ulutsha Stationery with Purpose (“SWP”)

and

The Affiliate (the “Affiliate”), whose details are provided during the registration process.

 

It is agreed as follows:

 

1.           INTRODUCTION:

 

The Stationary with Purpose Affiliate Program is an initiative designed to expand the reach of Stationery with Purpose ("SWP") through partnerships with individuals or organisations who promote SWP’s grade-specific stationery kits. The program is meant to leverage the networks of parents, guardians, and community members to introduce and market SWP’s products to schools, grades, and other potential buyers.

 

The primary objective of the SWP Affiliate Program is to:

 

1.1.        Create an alternative channel for parents to access quality prepacked stationery kits that meet their children's grade-specific needs.

 

1.2.        Offer Affiliates the opportunity to earn commissions by submitting stationery lists and promoting SWP’s products to other parents within their networks.

 

1.3.        Encourage the growth of SWP’s brand and sales, even in schools where SWP is not the official supplier, by allowing Affiliates to promote and market SWP's products as a convenient, socially responsible alternative for school stationery.

 

1.4.        The program aims to build mutually beneficial relationships, where Affiliates can support SWP’s mission of providing “stationery with purpose” while receiving fair compensation for their marketing efforts

 

2.           AFFILIATE STATUS:

 

2.1.        This agreement does not create an employment, agency, or partnership relationship between SWP and the Affiliate. By participating in the SWP Affiliate Program, the Affiliate acknowledges and agrees that his/her role is limited to promoting and facilitating the sale of SWP’s products as defined in this agreement.

 

2.2.        The Affiliate understands that he/she not authorised to engage in any business or activities on behalf of SWP beyond what is specifically outlined in this agreement. The Affiliate is not permitted to represent themselves as an employee, agent, or official representative of SWP, nor may they bind SWP to any obligations, contracts, or agreements not expressly authorised by SWP in writing.

 

3.           AFFILIATE RESPONSIBILITIES:

 

3.1.        Affiliates may submit a child’s grade-specific stationery list to SWP. Upon receipt, SWP will create a pre-packed kit for the relevant grade, which will be listed on the SWP online store as a stock item. These stock items will be coded in the format SWP-KPS-Gr1 (or similar, in accordance with SWP’s coding system).  No school-specific branding or name shall appear on the kits, and the product description.

 

3.2.        Affiliates are responsible for:

3.2.1.        Sourcing grade-specific stationery lists through their parent networks and submitting them to SWP. The Affiliate shall email the list to orders@stationerywithpurpose.co.za.

3.2.2.        Promoting the purchase of SWP’s prepacked stationery kits to parents within the relevant grade.

3.2.3.        Earning commissions based on the sales generated from these efforts.

3.2.4.        Affiliates are required to clearly indicate whether they are submitting a grade-specific stationery list or pursuing a school-wide submission. Commissions earned through grade-specific marketing shall be limited to the particular grade indicated in the submission, whereas commissions associated with school-wide submissions will encompass all grades within the entire school.

 

4.           SWP RESPONSIBILITIES:

 

4.1.        SWP shall create and load the corresponding pre-packed kit onto the online store as a stock item upon receiving a grade-specific stationery list from the Affiliate. The kit will be appropriately coded (e.g., SWP-KPS-Gr1) and available for purchase by parents.

 

4.2.        SWP shall track sales linked to the Affiliate’s submitted lists and ensure that commissions are accurately calculated. SWP shall make commission payments to Affiliates in accordance with the agreed payment terms.

 

4.3.        SWP shall provide Affiliates with any necessary marketing materials and guidelines to help promote the stationery kits. SWP reserves the right to review and approve any marketing content used by Affiliates.

 

4.4.        SWP shall maintain communication with Affiliates regarding the status of their submitted lists, product availability, and sales performance. SWP will notify Affiliates of any significant updates or changes that could affect the program.

 

4.5.        SWP shall send a confirmation email to the Affiliate upon receipt of a grade-specific stationery list. This email will specify the grade(s) or school associated with the submission to prevent overlap and miscommunication. SWP will clearly communicate that the Affiliate is not entitled to any commission unless the submitted list has been confirmed and accepted. If SWP does not provide confirmation, the Affiliate cannot assume eligibility for commission or that the list will be utilised by SWP.

 

 

 

5.           AFFILIATE COMMISSION STRUCTURE:

 

5.1.        Commission is the monetary reward paid to affiliates for successfully promoting and facilitating the sale of SWP’s grade-specific prepacked stationery kits.

 

5.2.        Affiliates shall earn a flat commission of R20 per stationery kit sold for the grade-specific lists they submit.

 

5.3.        Once a kit is listed as a stock item (e.g., SWP-KPS-Gr1), the Affiliate shall continue to earn commission on all sales of that kit, even from other parents in the same grade who did not submit the list.

 

5.4.        Commission shall be paid on a first-come, first-served basis, meaning the affiliate who submits the grade-specific stationery kit for a school first shall receive the commission for that grade.

 

5.5.        Should there be multiple affiliates who submit lists for different grades within the same school, each affiliate shall receive commission based on the specific grade kit they provided.

 

5.6.        Payment Terms:

5.6.1.           Commissions shall be tracked and paid out quarterly.

5.6.2.           A minimum payout threshold of R100 applies.

5.6.3.           Commissions will be valid for one year from the date of the first sale linked to the submitted stationery list.

 

6.           PROTECTION OF PERSONAL INFORMATION

 

6.1.        Both parties acknowledge that in the course of fulfilling their obligations under this agreement, each party may process personal information of individuals, including but not limited to the Affiliates, customers, and third parties.

6.2.        SWP shall take reasonable steps to ensure that any personal information collected, processed, or stored in connection with this Agreement is kept secure and confidential.

6.3.        The Affiliate agrees to handle any personal information obtained through their marketing efforts in compliance with Protection of Personal Information Act, including obtaining any necessary consent from individuals before processing their personal information. Both parties will ensure that personal information is used only for the purposes outlined in this Agreement and will not disclose such information to any third parties without prior written consent, unless required by law.

 

7.           VARIATION

 

Any amendments or variations to this Agreement must be made in writing and signed by both parties. No verbal agreements or representations shall be binding unless confirmed in writing. This includes changes to the scope of work, commission structure, responsibilities, or any other terms set forth in this Agreement. Both parties agree to review the Agreement periodically and may initiate discussions for amendments as necessary to reflect changes in circumstances or requirements.

 

8.           BREACH

 

8.1.        In the event that either party fails to comply with any material term or condition of this agreement (a "breach"), the non-breaching party shall provide written notice of the breach to the breaching party. The breaching party shall have a period of seven (7) days from the receipt of such notice to remedy the breach.

 

8.2.        Should the breach be not remedied within the specified time frame, the non-breaching party shall have the right to terminate this Agreement immediately upon providing written notice to the breaching party.

 

8.3.        Termination due to a breach shall not affect any rights or obligations that may have accrued prior to termination, including any claims for damages or other remedies available at law or in equity.

 

 

 

9.           TERMINATION OF AGREEMENT

 

9.1.        SWP reserves the right to discontinue this Agreement at its discretion if:

 

9.1.1.        The Affiliate does not submit any stationery lists within three (3) months from the start of the Agreement.

9.1.2.        The Affiliate breaches any terms of this Agreement or engages in actions that may negatively impact the reputation of SWP.

 

9.2.        The Affiliate may terminate this Agreement at any time by providing written notice to SWP. Upon termination, any outstanding obligations or commissions due to the Affiliate will be settled in accordance with the terms outlined in this Agreement.

 

10.        AFFILIATE DECLARATION

 

By entering into this agreement, the Affiliate declares that they have the authority to do so, have read and understood the terms and conditions, have not made any false representations regarding their intentions, agree to comply with all applicable laws and regulations while participating in the Affiliate Program, and acknowledge that this Agreement may be signed in counterparts, with electronic signatures considered valid. By signing below, the Affiliate agrees to the terms of this Agreement.
